Terms of Service – Fluenta

These Terms of Service (the “Terms”) govern your access to and use of the website located at https://fluenta.space and any associated web pages, tools, applications, or services provided under the Fluenta brand (collectively, the “Platform”). The Platform is owned and operated by Fluenta Tech LLC, a Delaware incorporated company. (“Fluenta”, “we”, “us”, or “our”).
By accessing, browsing, or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Platform.
Fluenta reserves the right to amend or update these Terms at any time. Any modifications become effective upon posting to the Platform. Continued use constitutes acceptance of any revised Terms.
Nature and Scope of the Platform
Purpose of the Platform.
Fluenta provides an AI-enabled software platform that assists founders, teams, and organizations in building and improving investment pitch decks. The Platform reviews user-submitted content, analyzes it using proprietary AI-driven models, and provides automated recommendations, suggestions, and feedback to enhance the clarity, persuasiveness, and investor-readiness of such materials (the “Services”).
No Professional Advice.
The Services do not constitute investment advice, legal advice, financial advice, fundraising advice, broker-dealer activity, solicitation, or endorsement of any fundraising strategy or investment product. All output is informational, heuristic, and recommendation-based only.
No Guarantees.
Fluenta does not guarantee that: (a) users will successfully raise funds (b) investors will react positively to any pitch deck, or (c) any recommendation will be appropriate, accurate, or commercially effective.
AI-Generated Output.
User acknowledges that: (a) AI-generated content may be incomplete, inaccurate, biased, or non-contextual; (b) output should be reviewed, verified, and refined manually; (c) Fluenta does not monitor or verify the accuracy of AI-generated content.
Eligibility and User Representations
Minimum Age.
You must be at least eighteen (18) years old to use the Platform.
Legal Capacity.
You represent and warrant that you have full legal capacity to enter into these Terms.
Compliance with Law.
You are solely responsible for ensuring that your use of the Platform complies with all laws applicable to you, including export controls, sanctions, intellectual property laws, and data protection laws.
Account Registration
Account Creation.
Use of certain features may require creating an account. You must provide accurate, complete, and up-to-date information.
Account Security.
You are responsible for maintaining confidentiality of your login credentials and for all activities occurring under your account.
Suspension.
Fluenta may suspend or terminate accounts that violate these Terms or pose security, legal, or operational risks.
User Content
Definition.
“User Content” means any pitch decks, slides, text, images, data, or other materials uploaded or submitted by you to the Platform.
Ownership.
You retain all rights, title, and ownership in your User Content. Fluenta does not claim ownership over your materials.
License to Fluenta.
By submitting User Content, you grant Fluenta a non-exclusive, worldwide, royalty-free license to: (a) process, view, analyze, and store the User Content for the purpose of providing the Services; (b) generate derivative AI insights and recommendations; (c) improve models and system performance, subject to strict privacy controls and anonymization.
User Responsibility.
You represent and warrant that you own or control all rights necessary to submit User Content and that it does not infringe the intellectual property or privacy rights of any third party.
Data Retention.
Fluenta may retain User Content for operational purposes, quality assurance, compliance, or to improve machine-learning models, subject to our Privacy Policy and any deletion requests where applicable.
Acceptable Use Policy
You shall not
- Upload unlawful, misleading, defamatory, harmful, obscene, or infringing materials.
- Attempt to circumvent, access, reverse-engineer, decompile, modify, or interfere with the Platform, its infrastructure, or its security features.
- Scrape, mine, harvest, or copy content from the Platform by automated means.
- Use the Platform to build, train, enhance, or compete with any AI or pitch-deck-building service.
- Use the Platform in a manner that violates fundraising regulations, securities laws, or investor-solicitation rules.
Fluenta may suspend or restrict your access upon any suspected violation.
Intellectual Property Rights
Platform IP.
The Platform, including its software, algorithms, models, graphics, UI, branding, and proprietary systems, is owned by Fluenta and is protected under applicable intellectual property laws.
License to Users.
Users receive a limited, revocable, non-exclusive, non-transferable license to use the Services for internal purposes only.
Restrictions.
You may not copy, resell, sublicense, lease, modify, distribute, or create derivative works from the Platform’s systems or output (other than your own User Content).
Fees and Payment
Paid Plans.
Certain features may require subscription fees or one-time payments, and by purchasing any paid Service you authorize Fluenta to charge the applicable fees shown at checkout.
No Refund Policy.
All payments are final and non-refundable unless required by law, and you acknowledge that Fluenta provides digital services that become accessible immediately upon purchase.
Taxes.
You are responsible for all applicable taxes related to your purchase or use of the Services, and such taxes may be added to the total fees charged to you.
Payment Processor.
All payments made through the Platform are processed by Fluenta Tech LLC acting as the merchant of record. Fluenta may engage third-party payment service providers, including Stripe, to facilitate billing and payment processing for the Platform. You acknowledge that such payments are subject to the terms and conditions of the applicable payment processor, and you agree to comply with those terms whenever they apply.
Billing Authorization.
By providing a payment method, you authorize Fluenta and its payment processor to charge all applicable fees, and Fluenta may suspend or terminate access to the Services if payment fails.
Pricing Changes.
Fluenta may update its pricing for future billing cycles, and your continued use of the Services after such changes constitutes acceptance of the updated fees.
Disclaimers
No Advice.
All content and output provided by the Platform are informational only and shall not be construed as investment advice, business advice, legal guidance, or professional consulting.
No Reliance.
You acknowledge that any reliance on the Platform output is solely at your own risk.
No Guarantee of Accuracy.
AI-generated output may be incomplete, inaccurate, or unsuitable. Fluenta disclaims responsibility for any decisions based on such output.
No Guarantee of Fundraising Success.
Fluenta does not guarantee that any pitch deck will succeed in attracting investors or closing funding.
Limitation of Liability
To the fullest extent permitted by law, Fluenta and its affiliates, officers, employees, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, business interruption, or goodwill, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages.
Fluenta shall not be liable for downtime, delays, failures, or issues caused by third-party infrastructure or AI providers; for inaccuracies or errors in AI output; for actions or omissions by you or anyone using your account; or for loss, misuse, or corruption of User Content, except where caused solely by Fluenta’s gross negligence or willful misconduct.
Fluenta’s total aggregate liability for all claims arising from or relating to the Services or these Terms shall not exceed the lesser of one hundred United States dollars (USD 100) or the total amount paid by you to Fluenta in the three months preceding the event giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Fluenta and its officers, employees, founders, contractors, and affiliates from any claims, damages, losses, or expenses arising from your misuse of the Services, your User Content, your violation of laws or third-party rights, your use of AI output, or any fundraising activities conducted by you or your organization.
Data Protection and Privacy
Application of Privacy Laws.
Fluenta processes personal data in accordance with applicable privacy laws, including GDPR, UK GDPR, and CCPA (where applicable).
Privacy Policy.
All processing activities are described in the Fluenta Privacy Policy, which forms an integral part of these Terms.
Platform Availability
Fluenta does not guarantee uninterrupted, error-free, or continuous access to the Platform. Maintenance, updates, outages, or events beyond Fluenta’s control may affect availability.
Third-Party Services and Integrations
The Platform may rely on third-party AI technologies, models, APIs, or hosting services. Fluenta is not responsible for the accuracy, reliability, or functioning of such services, nor for any outages, delays, or failures caused by third-party providers.
AI Use Disclaimer
The Services may use artificial intelligence models to generate content, recommendations, or other outputs (“AI Output”). AI Output may contain errors, omissions, inaccuracies, or other issues and should not be relied upon without independent review and verification. You are solely responsible for reviewing, validating, and using any AI Output generated through the Platform, whether produced by Fluenta’s integrated AI systems, by third-party AI providers, or by any external model or API that you connect to the Services.
You assume full responsibility for your use of AI Output and agree not to rely on it for critical or high-risk purposes, including medical, legal, financial, investment, or safety-related decisions, without appropriate safeguards. AI Output may be similar or identical to content generated for other users and may not be unique, error-free, or fit for any particular purpose. Fluenta does not guarantee the accuracy, reliability, completeness, or suitability of any AI Output and disclaims all liability arising from your reliance on such output.
Termination
By Fluenta.
Fluenta may suspend or terminate your access to the Services at any time, with or without notice, if we believe your use poses a security, legal, or operational risk, violates these Terms, or for any other reason at our discretion.
By User.
You may discontinue use of the Services at any time. If you have an account, you are responsible for properly closing it and ensuring that all associated data is backed up before termination.
Effect of Termination.
Termination does not relieve you of any obligations or liabilities incurred prior to termination. Certain provisions of these Terms that by their nature should survive termination including intellectual property rights, disclaimers, limitation of liability, and indemnification shall continue in full force.
Governing Law and Dispute Resolution
Governing Law.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles.
Arbitration.
Any dispute arising from these Terms shall be submitted to binding arbitration before a single arbitrator seated in [Jurisdiction], conducted in English.
Class Action Waiver.
You waive any right to participate in class or representative actions.
Entire Agreement.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Fluenta and supersede all prior statements or representations.
